Establish a Joint stock company (JSC) for € 1099

As attorneys, with Power of Attorney, we have the right to represent anyone before governmental institutions, banks, notaries, and all persons related to the incorporation of a company. With the power of attorney given to us, we can open a bank account with the deposit of the company’s incorporation capital, and deposit it on your behalf. Once all other documents have been signed and certified in the country of the client who is incorporating the company in Bulgaria, we will prepare and file an application to register the company in the Commercial Register. After the incorporation of the newly established company, the bank account is converted into a current account, and the company starts its activities. With the Power of Attorney given to us, we will be able to respond and represent you in the ongoing business of the company, if necessary.

We will prepare a complete package of documents required to establish a joint stock company (JSC, in Bulgarian: “АД“), which we will send to you for signature with full instructions, including the documents to be notarised and apostilled, if they are not signed in Bulgaria.

Once we have received the documents, together with the pre-signed power of attorney, we will open a bank account on your behalf to deposit the capital to form the company. Opening a bank account with a power of attorney takes about one week.

The joint stock company (JSC) in Bulgaria is established with a minimum capital of EUR 25 000. The Bulgarian Commerce Act allows a JSC to be established with а capital of EUR 6 250. However, the remaining capital up to EUR 25 000 has to be deposited within 2 year of establishing the company.

The joint stock company has a more complicated management system than the Ltd. The one-tier system provides the JSC to be managed and represented by a board of directors. The board of directors shall consist of not fewer than three and not more than nine persons. The two-tier system consists of management board which shall conduct its business under the control of a supervisory board. The number of the members of the management board may be between 3 and 9 people and shall be set forth in the Articles of Association.

Once the capital has been deposited, we will file an application on your behalf for registration of the company with the Commercial Register at the Registry Agency of the Republic of Bulgaria. Registration of the company takes up to three working days. Upon successful registration, the company receives a unique identification code (UIC).

After obtaining the UIC, again with the given power of attorney, on your behalf we convert the opened bank account into a current account and request online banking, as well as bank cards of your preference, which we will send to you so that the company can start operations.
